Constitution

 The name of the society is 

BRITISH COLUMBIA VOCALIST SOCIETY

 Our aim is to assist professional singers in need.  Sometimes months are tough and there is not enough work to pay the rent, buy groceries or for medical supplies, this is where we would like to step in and help.
In addition, it will be the mission of the BCVS  to advance education in the vocal arts by providing a tuition-based scholarship to deserving underprivileged students.

1. Commitment

Each director will have an understanding and appreciation of the role and mission of the Society. While representing the Society each director will ensure that business and personal conduct reflects positively on the society and that areas of perceived conflict of interest should be avoided.

2. Confidentiality

Each director will respect the confidentiality of information gained in all “in-camera” portions of meetings.

3. Governance

Each Director will plan and active role in developing and implementing Society policies. The board will be responsible for the trusteeship of specific funds and be responsible for the strategic planning, budgeting, and stewardship of the society.

4. Advocacy

An understanding of the need to promote the British Columbia Vocalist Society business and social situations, the Director will have the opportunity to express the mission of the Society. Through an advocacy role the Director can provide leadership in promoting understanding for the role and mission of the society as well as acting as a valuable resource person to provide linkage between the music industry and the community as a whole.

5. Recruitment

Directors will assist in the identification and recruitment of prospective Board members and general members.

6. Evaluation of Board Performance

Although a criterion for Board Membership is all encompassing, it may be necessary to review the performance of Board members in relation to the above roles and Responsibilities. Consideration will be given to special circumstance however; Board members are expected to commit time to the Society every month in addition to attending monthly Board Meetings.

7. Duties of Directors

A Director of a Society has a legal duty to act honestly and in good faith and in the best interests of the society and so exercise the care, diligence and skill of a reasonably prudent person.

Addendum

Terms of Board Members

Members of the Society will vote to elect the directors every 2 years at the Annual General Meeting and the directors shall be elected to hold office for a 2 year term including the Executive Board. The Executive Board of Directors will be voted upon by the directors.

Not for Profit Claus

The organization shall be carried on without purpose of gain for its members and any profits or other gains to the organization shall be used in promotion its objectives.
